The agreement for the capital increase was approved
The Extraordinary Shareholders Meeting has also agreed to the appointment of Mr. ZHANG Lin, President of Wanda Cultural Group and member of the Board of Directors of the parent company Wanda Group, as a new member of the Club’s Board of Directors.
This Tuesday, the 24th of February, the Extraordinary Shareholders Meeting of Club Atlético de Madrid was held at the Vicente Calderón Stadium, with the assistance of shareholders that accounted for 97,78% of the share capital. The Board has approved to increase the share capital by 6.375.000 Euros, through the issuance of 750,000 new ordinary shares, of 8.5 Euros of nominal value and with a share premium of 53.4 Euros per share, representing a total of 46.425.000 Euros, at a rate of 61.9 Euros per share.
The Board has agreed to respect the right of pre-emptive subscription rights of the existing shareholders of the Club, who can take out an option of a new share of this extension for every four shares they hold. However, the majority shareholders of the Club (Mr. Cerezo and Mr. Gil Marín) have promised not to exercise their right of pre-emption, in order to allow Wanda group to enter the share capital of the Club, in accordance to the agreement that was announced publicly in Beijing the last 21st of January.
For its part, Wanda group has agreed to take out an option on a number of shares which will represent, after the execution of this capital increase, a participation of 20% of the share capital, with an investment of 45 million Euros.
This share capital increase agreement has been taken with 2.834.373 votes in favour, no votes against and 7.714 abstentions, which means a 99,72% backup of the votes cast in favour of the referred agreement.
It is expected that the increase in capital agreed to by the Board is implemented and completed during the month of March.
The General Board has also agreed, with an identical result to the previous agreement, to the appointment as new member of the Club’s Board of Directors of Mr. ZHANG Lin, who is President of Wanda Cultural Group and member of the Board of Directors of the parent company Wanda Group.
